1 Introduction and Definitions

1.1. These Terms and Conditions (“Terms”) are issued by Fudli ™, a Registered Trademark in the UK. Hereinafter referred to as the “Provider”.

1.2. These Terms govern the relationship between Fudli , Users, and Merchant Partners in connection with the use of the Fudli  Platform, including, but not limited to:

  • Access and use of the Fudli web application by Users and Merchant Partners.
  • The mediation of online ordering and/or delivery contracts between Users and Merchant Partners.
  • Other related services offered through the Fudli Platform.

1.3. Definitions:

  1. a) Fudli Platform: A web-based system developed and operated by the Provider, enabling Users to browse, order, and purchase food and beverage items from Merchant Partners, manage reservations, facilitate marketing activities, and enable digital payments.
    b) User: Any individual or legal entity using the Fudli Platform to browse menus, place orders, or communicate with Merchant Partners.
    c) Merchant Partners: A business entity (natural or legal) offering food and related services via the Fudli Platform.
    d) Third-Party Couriers: Third-party logistics providers integrated into the Fudli Platform (e.g., Stuart, WoltDrive, etc.)
    e) Products: Food, beverages, or other consumables and services made available to Users by Merchant Partners through the Fudli Platform.
    f) Service Fee: A transaction-based fee collected by the Merchant Provider from Users for facilitating the order process.
    g) Account: A personal or business profile created within the Fudli Platform, used to manage orders and preferences.
    h) Consumer Protection Laws: All applicable UK, EU, USA and global legislation relating to consumer rights and protection.

1.4. By using the Fudli Platform, the User confirms that they have read, understood, and accepted these Terms. Users confirm they possess the legal capacity to enter into binding agreements or are supervised by a legal guardian.

 

2. How the Fudli platform works

2.1. Fudli acts as a digital intermediary, connecting Users with Merchant Partners to facilitate the ordering and/or reservation of Products. The Platform enables:

  • Browsing restaurant-specific menus
  • Ordering and paying for Products
  • Marketing and promotional communications between Merchant Partners and Users

2.2. Users require an internet-connected device with a browser to access the Platform. Features may vary across devices and are subject to ongoing updates.

2.3. Fudli is not the seller of the Products. The contract for sale is exclusively between the User and the Merchant Partners. Fudli is not responsible for the preparation, quality, delivery, or legal compliance of the Products.

2.4. Merchant Partners are fully responsible for:

  • The accuracy of menu information
  • Product preparation and safety
  • Handling refunds, complaints, and consumer rights
  • Compliance with all food and commercial regulations

2.5. Fudli may provide limited support to mediate issues between Users and Merchant Partners, but is not liable for any party’s actions.

2.6. Fudli does not guarantee the legitimacy or conduct of Users or Merchant Partners. Information published on the Platform is not verified unless legally required.

2.7. Users may access Fudli by scanning a QR code at a restaurant, via a direct web link, through an embedded button on the Partner’s website, or mobile application downloaded from the App Store or Google Play.

2.8. Fudli may work with third-party vendors and subcontractors to deliver its services.

 

3. User Accounts

3.1. Users may place orders with or without an account. However, creating an Account offers a personalized experience, including order history and saved preferences.

3.2. Registered Users must provide accurate and complete information and keep it updated.

3.3. Users are responsible for maintaining the confidentiality of their login credentials and accept liability for any activity under their account unless proven unauthorized.

3.4. Users can manage personal data via their Account. Personal data is governed by Fudli’s Privacy Policy.

3.5. Users may not misuse the Platform or use it in any way that could harm Fudli’s operation or security.

3.6. Temporary downtime may occur due to maintenance, with prior notice where feasible.

3.7. Fudli may suspend or terminate Accounts with 14 days’ notice in case of serious breaches of the Terms.

3.8. These Terms apply indefinitely until the User or Provider terminates the agreement. Users may close their Account at any time.

 

4. Menu Content snd Product Information

4.1. Each menu listing includes a Product name, image (if applicable) price (including VAT if applicable), description, allergens (if applicable), packaging, and delivery options at checkout. Merchant Partners are solely responsible for accuracy.

4.2. Listings are invitations to treat, not binding offers. Merchant Partners may decline orders.

4.3. The Platform is not an e-commerce store. Product availability and visuals are controlled by Merchant Partners.

4.4. Products may contain allergens. For allergen and dietary concerns, Users must contact the Merchant Partners directly.

 

5. Ordering and Contract Formation

5.1. Orders may be placed via an Account or as a guest. An order becomes binding when the User clicks “Confirm Order” or via Apple Pay / GooglePay or any other third-party provider link at checkout.

5.2. Orders are only valid if:

  • Required details are filled in accurately
  • The User agrees to these Terms and Fudli’s Privacy Policy

5.3. The Merchant Partner confirms acceptance of the order within the Platform interface using the provided Merchant Application on iOS or Android.

5.4. Once confirmed, orders are archived in the User’s Account.

5.5. Orders may only be cancelled after Merchant Partner agreement. Refunds are at the Merchant Partner’s discretion.

5.6. Due to the nature of perishable goods, Users typically cannot withdraw from food orders under distance selling regulations, unless the Partner fails to fulfil obligations.

 

6. Pricing and Payments

6.1. All prices are listed inclusive of VAT (if Applicable). Final charges may include delivery or packaging fees.

6.2. A breakdown of the total cost is shown before the User confirms the order.

6.3. Payment methods may include:

  • Online card payment
  • Contactless or cash at collection/delivery (where applicable)

6.4. When paying online, Users are either redirected to a secure payment processor or the information is securely captured via Stripe’s integrated API within the application.

Taxes and VAT

The Merchant Partner shall be solely responsible for configuring, verifying, and maintaining all applicable tax, VAT, GST, and currency-related settings within the Fudli platform. The Merchant Partner is further responsible for ensuring compliance with all laws, regulations, and reporting requirements in its applicable jurisdiction(s), including the accurate determination, collection, remittance, and payment of any and all such taxes. Fudli makes no representation or warranty as to the accuracy, applicability, or sufficiency of any currency or tax settings and shall have no liability whatsoever arising from or related to the configuration, calculation, collection, reporting, or payment of any taxes in connection with the Merchant Partner’s use of its products or services.

 

7. Delivery and Collection

7.1. Delivery options include:

  • Takeaway collection
  • Local delivery (if offered by Merchant Partner)
  • On-site table service (via QR)

7.2. The Partner notifies Users when their order is ready.

7.3. Orders must be collected or received within designated times, or may be cancelled without refund.

 

7a. Delivery Via Third-Party Couriers and The Fudli Courier App

7A.1. Overview

Fudli provides restaurants with the option to fulfil deliveries using either:

  • (a) Third-party logistics providers integrated into the Fudli Platform (e.g., Stuart, WoltDrive, etc.), or
  • (b) Independent delivery staff using the Fudli Courier App developed and maintained by Fudli.

This section outlines the terms that apply to both delivery methods.

7A.2. Third-Party Logistics Integration

7A.2.1.

Fudli integrates with select external courier providers (hereinafter “Third-Party Couriers”) to offer automated, on-demand delivery solutions for Merchant Partners.

7A.2.2.

When a Merchant Partner chooses to fulfil a delivery using a Third-Party Courier, the delivery contract is formed directly between the Partner and the courier provider. Fudli is not a party to this delivery contract.

7A.2.3.

Fudli does not control or manage any Third-Party Courier services and shall not be held liable for:

  • Delays in delivery
  • Loss, theft or damage of goods in transit
  • Courier conduct, including professionalism, hygiene or identification
  • Failures in real-time tracking or notifications

7A.2.4.

Each Third-Party Courier service has its own set of terms, conditions, and service level agreements (SLAs), which the Merchant Partner agrees to abide by when selecting such a delivery option. Ultimate compliance remains the responsibility of the Merchant Partner.

7A.2.5.

Any claims for non-performance, delays or compensation due to courier issues must be directed to the relevant Third-Party Courier, in accordance with their own dispute resolution procedures.

7A.3. Fudli Courier App and Independent Drivers

7A.3.1.

Fudli offers a mobile application (“Fudli Courier App”) that enables independent couriers or Merchant Partner-employed drivers to receive and complete delivery tasks assigned via the Platform.

7A.3.2.

Fudli does not employ couriers directly. Individuals using the Fudli Courier App are either:

  • Self-employed contractors working independently, or
  • Employed by a specific Merchant Partner.

7A.3.3.

By accepting delivery jobs through the Fudli Courier App, couriers acknowledge and agree to:

  • Operate in full compliance with UK/EU/US and Global employment and tax laws applicable to self-employment, including registration with HMRC or similar governing authority in the country of residence.
  • Hold valid insurance for goods in transit and public liability, as required by UK/EU/US and Global law.
  • Use appropriate equipment (e.g., food-safe delivery bags) and maintain safe and hygienic practices during transport.

7A.3.4.

Restaurant Partners using the Fudli Courier App to manage in-house couriers must ensure that:

  • All drivers are legally eligible to work and deliver in the their country of operation;
  • Appropriate training, documentation, and insurance are in place;
  • Compliance with The Food Safety and Hygiene (England) Regulations 2013 and the Health and Safety at Work etc. Act 1974 is ensured, or similar governing authority in the country of operation.

7A.4. Legal Liability and Indemnity

7A.4.1.

Fudli acts solely as a technology provider in facilitating delivery tasks through its Platform. Fudli is not liable for:

  • Personal injury or property damage caused by couriers
  • Delivery failures due to courier error or absence
  • Any regulatory breach committed by Third-Party Couriers or independent couriers using the Fudli Courier App

7A.4.2.

The Merchant Partner shall indemnify Fudli against any losses, claims, damages, or penalties arising from:

  • Their use of unlicensed or uninsured delivery personnel
  • Any employment law disputes involving couriers
  • Breach of courier-related terms or failure to comply with applicable regulations

7A.5. Courier Data & Privacy

7A.5.1.

Fudli processes courier data (e.g. location, delivery logs, contact details) for operational and security purposes. This processing is governed by the Fudli Privacy Policy.

7A.5.2.

Independent couriers using the Fudli Courier App consent to the processing of their personal data under Article 6(1)(b) of the UK GDPR for the performance of delivery tasks.

7A.6. Platform Access and Suspension

7A.6.1.

Fudli may suspend or permanently remove a courier or Partner’s access to the Courier App or courier assignment features in the event of:

  • Repeated delivery failures or complaints
  • Use of unregistered vehicles or expired documents
  • Safety concerns, fraud, or violation of applicable law 

7A.6.2.

Courier access may also be suspended where legally mandated by regulatory bodies or if such action is deemed necessary to protect Users, Partners, or Fudli’s platform integrity.

 

7B. Subscription Services for Merchant Partners

7B.1. Subscription Overview

Fudli offers certain features and services to Merchant Partners on a subscription basis (“Subscription Service”), which may include branded ordering systems, access to the Fudli dashboard, marketing tools, reporting features, third-party integrations, and priority support.

7B.2. Billing and Renewal Terms

7B.2.1.

When a Merchant Partner subscribes to a Fudli plan, the Subscription Billing Date is the date on which the subscription is first activated.

7B.2.2.

The subscription will begin on the Subscription Billing Date and continue for an initial period of one (1) calendar month/year (the “Initial Subscription Period”), after which it will automatically renew on a monthly/yearly basis (each a “Renewal Period,” and collectively with the Initial Subscription Period, the “Subscription Term”), unless:

  • The Partner cancels the subscription; or
  • Fudli terminates it in accordance with these Terms.

7B.3. Recurring Payments

7B.3.1.

By activating a Subscription Service, the Merchant Partner authorises Fudli or its third-party payment processor(s) to automatically charge the applicable subscription fees on a recurring, monthly/yearly basis until the subscription is cancelled.

7B.3.2.

Charges will be made to the payment method provided during registration or subsequently updated in the Merchant Partner’s account.

7B.3.3.

The Subscription Fee for each billing cycle is stated on the Fudli Pricing Page and is inclusive of applicable VAT and other relevant Taxes, unless otherwise stated.

7B.4. Free Trial Period

7B.4.1.

Fudli may, at its discretion, offer a free trial period for new Merchant Partners to access the Subscription Service at no charge (“Free Trial”).

7B.4.2.

The duration of any Free Trial will be clearly stated at the time of registration. Unless otherwise specified, Free Trials automatically convert into a paid subscription at the end of the trial period (if debit/credit card is used during signup) or if the User manually upgrades.

7B.4.3.

By registering for a Free Trial, the Merchant Partner agrees that:

  • Fudli may require a valid payment method at sign-up;
  • Unless cancelled before the trial ends, Fudli will begin charging the applicable Subscription Fee immediately after the trial period expires; and
  • All billing and renewal terms (as outlined in Clause 7B.2) will apply thereafter.

7B.4.4.

Each business is limited to one Free Trial unless explicitly approved in writing by Fudli.

7B.4.5.

Fudli reserves the right to withdraw, modify, or limit Free Trial offers at any time, including revoking access in the event of suspected abuse or misuse of the offer.

7B.5. Cancellation Policy

7B.5.1.

To avoid charges for the next billing cycle, the Partner must cancel their Subscription Service before the renewal date.

7B.5.2.

Cancellation may be done via:

  • The Fudli Dashboard, or
  • Written request to support@fudli.com

7B.5.3.

Cancellations submitted after the renewal date will apply to the following billing cycle. No refunds or credits will be issued for partial months or unused services.

7B.6. Termination by Fudli

Fudli reserves the right to suspend or terminate a Partner’s Subscription Service:

  • With 14 days’ written notice; or
  • Immediately, in the case of:
    • Non-payment,
    • Material breach of these Terms, or
    • Fraudulent or abusive conduct.

8. Intellectual Property

8.1. All content, design, and functionality of the Fudli Platform is protected by copyright and owned by Fudli or its licensors.

8.2. Users may not reproduce, distribute, or exploit Platform materials without written permission.

8.3. Users must not attempt to interfere with, reverse-engineer, or gain unauthorized access to the Platform.

8.4. Users who post content (e.g., reviews, images) grant Fudli a perpetual, non-exclusive license to use such content for promotional purposes, free of charge.

 

9. User Responsibilities

9.1. Users agree to use the Platform lawfully, fairly, and respectfully.

9.2. Misuse of the Platform may result in suspension, legal action, or account deletion.

9.3. Any damages caused by misuse may be pursued legally by Fudli or affected Merchant Partners.

 

10. Data Protection

10.1. Fudli processes personal data in accordance with the UK GDPR and its own Privacy Policy.

10.2. Merchant Partners may also act as independent data controllers. Users should review their individual policies if shared.

 

11. Complaints and Contact

11.1. Feedback or complaints regarding the Fudli Platform should be sent to: support@Fudli.com

11.2. Complaints about orders or Products should be directed to the relevant Merchant Partners.

 

12. Governing Law and Disputes

12.1. These Terms are governed by the laws of England and Wales.

12.2. Users residing in the EU may benefit from additional consumer protections under local law.

12.3. Any unresolved consumer disputes may be submitted to the UK’s Alternative Dispute Resolution (ADR) scheme or the European Online Dispute Resolution (ODR) platform.

 

13. Changes to Terms

13.1. Fudli reserves the right to amend these Terms due to legal, operational, or security changes.

13.2. Users will be notified at least 14 days in advance of any material changes.

13.3. Continued use of the Platform after changes take effect indicates acceptance of the updated Terms. (Last Updated: July 20, 2025)
